    TERMS AND CONDITIONS (MEMBERSHIP AGREEMENT)

    1. Definitions

    • BtoBTurk (Seller/Service Provider): BTOBTURK BİLİŞİM TEKNOLOJİLERİ LOJS. HİZM. VE DIŞ TİC. A.Ş., owner and operator of www.btobturk.com and its mobile applications. Responsible for sales, consolidation, customs, and logistics services to the Buyer.
    • Supplier/Store: Turkish manufacturers or wholesalers listing their products on the BtoBTurk platform. Responsible for product quality, defects, certifications, and compliance with regulations.
    • Buyer: Any boutique, retailer, or business entity placing wholesale orders on the BtoBTurk platform.
    • Platform: The website www.btobturk.com and its mobile applications.
    • Products: Goods offered for sale on the platform and subject to orders.

    2. Scope of Services

    BtoBTurk is a B2B marketplace connecting Turkish Suppliers with international Buyers.

    For orders placed on the platform:

    • Suppliers ship the products to the BtoBTurk warehouse,
    • BtoBTurk consolidates the products, manages customs clearance and logistics,
    • Products are delivered as a single shipment to the Buyer.

    3. Obligations of the Parties

    a) Obligations of BtoBTurk:

    • Operate the platform’s technical infrastructure and provide membership services,
    • Organize the procurement of products from Suppliers,
    • Consolidate products in the warehouse and manage customs and logistics,
    • Deliver products to Buyers as a single shipment.

    b) Obligations of Suppliers:

    • List products on the platform with accurate, up-to-date, and compliant information,
    • Ship orders to the BtoBTurk warehouse on time and in full,
    • Be responsible for the quality, defects, certifications, and regulatory compliance of products.

    c) Obligations of Buyers:

    • Pay order amounts on time and in full,
    • Provide accurate and up-to-date delivery information,
    • Fulfill import obligations under the relevant laws of the Buyer’s country.

    4. Fees and Commissions

    BtoBTurk may charge commissions and/or service fees under agreements with Suppliers.
    For sales between Buyers and BtoBTurk, invoices are issued directly by BtoBTurk.

    5. Delivery and Returns

    • Delivery and customs processes are the responsibility of BtoBTurk.
    • Product quality, defects, and descriptions are the responsibility of Suppliers.
    • Returns are only possible in the following cases: incorrect product delivery, defective product delivery, or inability to supply the ordered product.
    • The 14-day withdrawal right under consumer law does not apply, as these are B2B commercial sales.

    6. Disclaimer of Liability

    • BtoBTurk is not responsible for product descriptions, images, or quality assurances provided by Suppliers.
    • BtoBTurk is only responsible for product consolidation, customs clearance, and delivery.
    • BtoBTurk cannot be held liable for incorrect information, defective products provided by Suppliers, or damages arising from links to third-party websites.

    7. Intellectual Property Rights

    The www.btobturk.com website, its design, logo, trademarks, software, content, and visuals belong to BtoBTurk. Unauthorized use is prohibited.

    8. Termination of Agreement

    BtoBTurk reserves the right to suspend or terminate membership in case of breach of these Terms and Conditions.
    Members may request to close their accounts at any time.

    9. Force Majeure

    Neither party shall be liable for failure to perform its obligations due to unforeseeable events such as natural disasters, war, strikes, internet outages, or decisions of public authorities.

    10. Governing Law and Jurisdiction

    These Terms and Conditions are governed by Turkish Law.
    In case of disputes, the courts and enforcement offices of Izmir, Türkiye shall have jurisdiction.
